Legal Terms & Conditions

1. OUR CONTRACT
These Terms and Conditions govern the supply of goods sold by Carpenters of York Ltd.,of Units 2-4, Byram Business Park, Brotherton, West Yorkshire. WF11 9HS. (“we” and “us”) to the customer named on the order form provided on the Carpenters of York website or in literature/catalogue or information provided by Carpenters of York Ltd (“you”). Together with the completed order form, these Terms and Conditions constitute the entire and only agreement between us in relation thereto. Our acceptance of your order by delivery of the goods constitutes a legally binding contract between us on these terms and conditions.

2. PRICE & PAYMENT
2.1 The price payable for the goods you order is set out on our website at the time you place your order
Or, if you order from one of our brochures/catalogues, as set out in the brochure/catalogue from which you order provided it is a current edition, plus any charges for carriage and insurance as set out in the order form.
2.2 Subject to clause 2.3, we must receive payment for the whole of the price of the goods you order, and any applicable charges for carriage and insurance, before your order can be accepted unless we have agreed otherwise in advance in writing.
2.3 If you are an account customer, payment shall be made in full at the end of the month following date of invoice. Time shall be of the essence for payment. We may revoke credit if you fail to make payment when due, interest is payable at the rate of 3 per cent over Barclay’s then current base rate on the amount outstanding from the due date for payment until receipt by us of the full amount (including any accrued interest) whether before or after judgement, together with any reasonable legal or other recovery costs.

3. DELIVERY & TITLE
Unless you tell us you wish to collect the goods, we will deliver them in accordance with your order. A valid signature will be required on collection or delivery. Immediately prior to despatch of the goods to you, title in the goods will pass to you. In the unlikely event that you have not received all the goods within 21 days of the date of delivery (or where you have requested a delayed despatch within 21 days of the requested despatch date), you must notify us immediately.

4. AVAILABILITY
While we endeavour to hold sufficient stock to meet all orders, if we have insufficient stock, or the stock item ordered has been discontinued or out of stock availability to supply or deliver the goods ordered and paid for by you, we may, at our discretion, supply or deliver a substituted product or refund you the price paid for such goods as soon as possible and in any case within 30 days or in the case of an account customer, we may, in our absolute discretion, as soon as possible raise a credit to offset the amount invoiced to you.

5. CANCELLATION & RETURNS
5.1 You may cancel your order by giving us notice of cancellation within 7 days of the date of collection or delivery. Such notice may be given by mailing, faxing or emailing to the number or address set out on the order form. If you are cancelling because of any problem with the goods, please notify us of the problem at the time of cancellation.
5.2 On cancellation, you must return the goods to us at your cost unless the goods are being returned because they are faulty, incorrect goods or because of unsuitable substitution by us, in which case we will meet the cost of return but ask that you allow us to nominate the carrier.
5.3 Reference should be made to the Consumer Protection (Distance Selling ) Regulations 2000 regarding your rights to cancellation of a contract formed with Carpenters of York Ltd, and the said Regulation is to be referred to, concerning Consumer Protection over the website trading.

6. LIABILITY
If you have notified us of a problem with the goods, we will either make good any shortage or non-delivery; replace or repair any goods that are damaged or defective upon delivery; or refund to you the amount paid by you for the goods in question less any fees. We will not be liable to you for any loss of profits, administrative inconvenience, disappointment, indirect or consequential loss or damage arising out of any problem in relation to the goods and we shall have no liability to pay any money to you by way of compensation other than any refund we make under these conditions. This does not affect your statutory rights as a consumer, nor is it intended to exclude our liability to you for fraudulent misrepresentation or for death or personal injury resulting from our negligence.

7. TERMINATION
We may suspend further supply or delivery, stop any goods in transit or terminate our contract by notice in writing to you if you are in breach of an obligation hereunder or you become unable to pay your debts when they fall due or proceedings are commenced by or against you alleging bankruptcy or insolvency. Upon termination, your indebtedness to us becomes immediately due and payable and we shall be under no further obligation to supply goods to you

8. FORCE MAJEURE
We shall have no liability to you for any failure or delay in supply or delivery or for any damage or defect to goods supplied or delivered hereunder that is caused by any event or circumstance beyond our reasonable control (including without limitation, strikes, lockouts and other industrial disputes).

9. GENERAL
If any part of these conditions is invalid, illegal or unenforceable (including any provision in which we exclude our liability to you) the validity, legality or enforceability of any other part of these conditions will not be affected. This contract shall be governed by and interpreted in accordance with English law.

10. VAT
All prices are excluding VAT at 17.5%, unless notified as included in the Carpenters of York Ltd. Website or literature sent by Carpenters of York Ltd.

11. DESIGN & REPRODUCTION
Drawings, photographs, part numbers, layout and style are considered property. Reproduction in whole, or in part, strictly prohibited without written permission. Quantities and measurements are approximate. Trademarks acknowledged. Exact products may vary from that shown. All products subject to availability. Goods are not sold on any trial basis.

Deliveries

WE LIKE TO KEEP THE COST OF THE GOODS AT THE LOWEST COMPETITIVE PRICES !
For the majority of UK Mainland postcode addresses, orders will be packed, and shipped by economy three day delivery system, normal standard charge of £39-00 per pallet will be made and all carriage terms SUBJECT TO POST CODE EXCESS CHARGES FOR CERTAIN AREAS OF THE UK MAINLAND if necessary.
SMALL ITEMS;
gifts and other Promotional Products listed, if ordered and included WITH heavy goods, the standard charge will be made per consignment for heavy goods, and the small item travels with the heavy goods, included in the main charge--no further charges are made for the small item--any adjustments to the online invoice will be made, before dispatch.
Next day delivery or a timed delivery, if required, for the heavy goods, will be an additional charge of £10 per consignment---N.B. please refer to postcode areas that do NOT apply to these terms and will be quoted as a seperate transaction--please speak to the sales department for a quotation.
LONG ITEMS;
We receive many orders for long length accessories, e.g. beads,skirtings,architraves etc (which are very welcome), but our discounted prices cannot keep up with sustaining the ever increasing costs of excess carriage on the longer articles from 1500mm to 2400mm long. If you require the longer lengths of accessories with your general order, or as a seperate order, we will have to quote you a seperate price for the increased lengths-please consult with the sales team.

All online orders will be acknowledged by return via email. The acknowledgement will list the products you ordered and will be given a Cart ID number, which can be 'order tracked' through our system at any time, if there is a query.
After confirmation our Sales Team will contact you to confirm details of payment on your order will be confirmed via email and the goods packed and shipped when agreed with you or the following day, after discussion with yourself to confirm you can accept the goods. If any products are out of stock you will be notified at the same time and/or via email.

POSTCODE AREAS
The following postcode areas and offshore islands will have an additional delivery charge added. These charges will be clarified with you before any despatch of your order. Postcode areas (AB,DD,IV,KW,PA20 ,PH,ZE), DG, EH, FK, G,KA, KY, ML, PA1-19, TD, plus all offshore islands will include charges. The charges will be kept to a minimum cost.

Deliveries are made by outside carrier, or by our own transport. Flooring deliveries are made to the 'kerb side' only, and the driver will require help in offloading the consignment to this point.
It must be noted that drivers are not allowed to carry any parcels into the property of a purchaser, as they are not covered by insurance to enter property, and should not be encouraged to do it.
PLEASE NOTE, that if you require any special instructions advising the carrier to be able to make a satisfactory single delivery, without the need for returning the goods to the yard, because you may be out, or at work, please make these arrangements with the sales team at the time of ordering.
To help in this matter, the delivery can be scheduled for an AM. or PM. delivery, or on a next day or a specific working day, however, these scheduled times will add £10 per consignment. If the goods have to be returned back to you from the delivery yard, i.e. making a second delivery albeit the consignment had been delivered as arranged, an extra charge may be made for this double handling. It will also be assumed, that unless advised accordingly, the delivery address is fully accessible by lorry, if not, please inform us of the problem at the time of ordering. Deliveries into London and major cities can be restrictive for making deliveries, and any information concerning the possible difficulties of delivery should be noted with our sales team, for the carrier to make other arrangements to complete your satisfactory consignment.
The more handling of the product, can cause possible damage to your goods.
We do not have deliveries made from any other source or direct from a manufacturer. The stocks are all held at our own warehousing, packed and shipped from there. Orders are shipped to your instructions, after the order is confirmed and fully paid, most deliveries are made within 3 working days. It is unlikely that any damage will be found at the time of shipping, due to inspection by our staff and photographs taken of the consignment pallet, however, any damage and/or missing items, noticed at time of delivery, must be noted on the carrier's documents, and reported to us by email or in writing within 24 hours of delivery.Contact 'Orders@carpentersofyork.com' Claims cannot be made with regard to damage and/or missing items from the consignment, after 24 hours from delivery. The delivery notes must be signed by a responsible person and any damage and/or missing item noted at the time of delivery.


BACK ORDERS
Where stock is not available at the time of ordering you will be notified by email and when available, the outstanding goods, if still required, will be shipped with a delivery charge if necessary or as terms above, at an agreed time with yourself.
If storage, in our warehousing is required by a customer, full payment of the order including any delivery charges and VAT must be made at the time of ordering, and the storage will be free of charge, in our warehousing for one calendar month only.

PLANNING AHEAD
We suggest, for peace of mind, that you do not schedule any installation work until a few days after the expected delivery date. This will enable you to resolve any technical questions or to order specific additional fittings as necessary.
